AGSTEIN creates and structures bankable deals, assets, future-revenue transactions and securitisations through bankruptcy-remote SPVs, then places these into the capital markets through regulated channels to provide companies with access to debt-free capital.

AGSTEIN operates through applicable European MiFID II and U.S. SEC frameworks to structure, approve, market and place eligible financial instruments—connecting capital creation directly to regulated European and U.S. capital markets.

Distribution extends across permitted European markets (via MiFID II passporting) and U.S. markets (via SEC compliance), where covered by the firm’s regulatory permissions and distribution rules.
Financial instruments are subject to product approval, governance standards, and investor suitability controls under MiFID II and/or SEC regulations before being offered to investors.
Marketing and distribution must comply with applicable MiFID II and SEC disclosure and investor-protection rules, including fair, clear and non-misleading communications in both jurisdictions.
Regulated activities are carried out under the responsibility and supervision of authorised MiFID II investment firms (EU) or SEC-registered entities (U.S.), as applicable by jurisdiction.
Regulatory scope: Neither MiFID II nor SEC regulations make every transaction or capital-creation activity a regulated investment service. The applicable regulatory treatment depends on the instrument, service, client category, jurisdiction and distribution route. The authorised entity, regulatory permissions and product-specific conditions are confirmed for each transaction in both jurisdictions.
Capital creation means: We originate and structure bankable assets, transactions and securitisations and, where applicable, arrange their regulated placement into the European capital markets through our MiFID II investment framework to generate the capital you require.
We offer access to €1M–€250M of debt-free capital for companies that want to start, expand, buy, or sell an asset, a business, properties, or securities — without assuming debt, loans, or liabilities.
We buy your assets, securities or technologies — and we pay you at the agreed conditions, with or without you delivering the agreed asset or transferring its ownership rights.
Eligibility: We work for companies that have more than €250,000 in assets, or 50+ employees.
